3.2.6 Board/Administration Distinction

  
There is a clear and appropriate distinction, in writing and practice, between the policy-making functions of the governing board and the responsibility of the administration and faculty to administer and implement policy.

Narrative
 
According to the Mid-America Baptist Theological Seminary (MABTS) organizational diagram, the Trustees are the governing authority for the institution [1]. According to Section 1.16 of the 2014-15 MABTS Trustee Handbook, “the order of governing authority for Mid-America Baptist Theological Seminary shall initially and finally rest with the Board of Trustees. The Board shall be the governing body of the seminary with full authority in all financial matters, matters involving doctrinal statements, and matters involving doctrinal purity. They have the authority to remove for sufficient cause any person employed by the seminary in a salaried or non-salaried position.” Furthermore, the handbook states in section 1.17, “The Trustees shall be finally responsible for all corporate funds and securities. All monies, securities, and other valuable effects shall be deposited in the name of the seminary in such depositories as may be designed for that purpose by the Board of Trustees. Funds shall be disbursed as may be ordered by the Board, taking proper vouchers for such disbursements, and such accounts of transactions shall be rendered to the Board whenever requested by them” [2].   
 
The faculty administers and implements academic and other policies created by the Board as evidenced in Section 11.05: “The faculty, subject to approval by the Board of Trustees, shall prescribe the courses of study, admission requirements, requirements for graduation, degrees, and diplomas to be granted, and the policies for the educational program of the seminary. These rules and policies shall be published annually in the seminary Catalog” [3]. The Board of Trustees meets bi-annually unless needed otherwise and conducts business on behalf of the seminary as demonstrated by Trustee Minutes of the Board [4].
