3.2.5 Board Dismissal


The governing board has a policy whereby members can be dismissed only for appropriate reasons and by a fair process.

According to Section 1.05 of the Charter and By-laws of Mid-America Baptist Theological Seminary (MABTS), Trustees “may be removed from membership by two-thirds (2/3ds) vote of the Board of Trustees for conduct deemed prejudicial to the corporation, provided that such member shall have first been served with written notice of the accusations against him and shall have been given an opportunity to produce his witnesses, if any, and to be heard at the meeting at which such vote is taken” [1]. Furthermore, “any officer or agent may be removed by the Board of Trustees whenever, in the judgment of the Board, the business interests of the corporation will be served thereby” [2].


According to section 1.15, “In the event any trustee misses two (2) consecutive regular meetings of the Board of Trustees of this corporation, the Board shall have the right to instruct the Chairman to request the resignation of said trustee. If, upon request, the trustee refuses to resign, upon motion seconded and passed by two-thirds (2/3ds) of the Board members present at the meeting, the trustee who has been absent at two successive meetings may be removed from office” [2]. The Board of Trustees meets bi-annually unless needed otherwise and conducts business on behalf of the seminary as demonstrated by Trustee Board Minutes [3].


MABTS has had no cause to dismiss a member of the trustee board, and therefore has not applied its policy concerning this matter; consequently there are no examples of implementation because no such dismissals have taken place.
